Abstract
This article examines the responsibility of controlling shareholders for affiliated transactions that constitute This article examines retail investor protection in digital financial asset derivatives trading after the enactment of OJK Regulation Number 23 of 2025. The issue arises because digital financial asset derivatives are not ordinary spot crypto transactions, but high-risk investment products involving margin, leverage, automatic liquidation, platform dependency, and complex risk disclosure. This research uses normative legal research with statutory and conceptual approaches. The analysis shows that OJK Regulation Number 23 of 2025 provides an initial regulatory basis through the recognition of digital financial asset derivatives, knowledge test requirements, exchange approval, platform obligations, and margin placement mechanisms. However, retail investor protection still requires stronger standards on product suitability, substantive risk disclosure, margin segregation, platform accountability, conflict-of-interest control, and loss recovery mechanisms. This article argues for strengthening retail investor protection by ensuring that digital financial asset derivatives are offered only through transparent, accountable, and properly supervised trading infrastructure.
